Please read this Terms of Service agreement carefully before downloading, installing, or using the app. Because it is an important contract between us and our users, we have tried to make it as clear as possible. A. Definitions

Short version: We use these basic terms throughout the agreement, and they have specific meanings.

The "Agreement" refers, collectively, to all the terms, conditions, and notices contained or referenced in this document (the "Terms of Service" or the "Terms") together with the RandoEats Privacy Policy and any other operating rules and policies we may publish from time to time.

The "Service" refers to the RandoEats mobile application and all related software, products, and services provided by TekAdept, LLC.

"TekAdept," "We," and "Us" refer to TekAdept, LLC, as well as our directors, subsidiaries, contractors, licensors, officers, agents, and employees.

"You" and "Your" refer to the individual person, company, or organization that has installed or is using the Service. You must be at least 13 years of age to use the Service.

B. Acceptable Use

Short version: While using the Service, you must follow the rules in this section and comply with all applicable laws. In short, be excellent to each other.

Your use of the Service must not violate any applicable laws, including copyright or trademark laws, export control or sanctions laws, or other laws in your jurisdiction. You are responsible for making sure that your use of the Service complies with laws and any applicable regulations.

You agree that you will not, under any circumstances:

• Use the Service for any unlawful purpose or to facilitate any illegal activity
• Copy, modify, reverse-engineer, decompile, or attempt to derive the source code of the Service, except to the extent permitted by law
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its supporting systems or networks
• Use automated means to scrape, harvest, or extract data from the Service or its data providers
• Use the Service to develop a competing product, or to resell or redistribute its content

C. In-App Purchases

Short version: RandoEats may offer optional purchases, processed by the app stores, not by us.

RandoEats may offer optional in-app purchases. All purchases are processed by Apple (App Store) or Google (Google Play) and are subject to their respective terms and refund policies. TekAdept, LLC does not collect, store, or process your payment card information. Except where required by law or by the applicable platform, all purchases are final and non-refundable.

D. Restaurant Information

Short version: RandoEats helps you pick a place to eat by showing nearby restaurants, but we don't run those restaurants or guarantee the information about them.

The Service surfaces information about third-party restaurants and businesses and lets you spin to pick one. Restaurant listings, locations, hours, menus, and related information are provided by third-party data sources and may be inaccurate, incomplete, or out of date. You rely on this information at your own risk. We do not own, operate, endorse, or guarantee any restaurant or its food, service, pricing, availability, or hours, and we are not responsible for your interactions with, or the products or services of, any restaurant or third party surfaced through the Service. Verify details directly with the restaurant before relying on them.

E. Intellectual Property Notice

Short version: We own the Service and its content. You may use the Service only in the ways we allow.

TekAdept, LLC and our licensors, vendors, agents, and content providers retain ownership of all intellectual property rights of any kind related to the Service, including its software, design, text, graphics, logos, and the "RandoEats" name. We reserve all rights that are not expressly granted to you under this Agreement or by law. You may not duplicate, copy, or reuse any portion of the software, visual design elements, or concepts without our express written permission.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to download and use RandoEats for your own personal, non-commercial use on a device you own or control. This license is also subject to the applicable terms of the Apple App Store or Google Play.

F. Disclaimer of Warranties

Short version: We provide the Service as is, and we make no promises or guarantees about it. Please read this section carefully; you should understand what to expect.

TekAdept, LLC provides the Service "as is" and "as available," without warranty of any kind. Without limiting this, we expressly disclaim all warranties, whether express, implied, or statutory, regarding the Service, including without limitation any warranty of merchantability, fitness for a particular purpose, title, security, accuracy, and non-infringement.

We do not warrant that the Service will meet your requirements; that the Service will be uninterrupted, timely, secure, or error-free; that the information provided through the Service is accurate, reliable, or correct; that any defects or errors will be corrected; that the Service will be available at any particular time or location; or that the Service is free of viruses or other harmful components. You assume full responsibility and risk of loss resulting from your use of the Service or any content obtained through it.

G. Limitation of Liability

Short version: We will not be liable for damages or losses arising from your use of, or inability to use, the Service. Please read this section carefully; it limits our obligations to you.

You understand and agree that we will not be liable to you or any third party for any loss of profits, use, goodwill, or data, or for any incidental, indirect, special, consequential, or exemplary damages, however arising, that result from:

• your use or inability to use the Service;
• any modification, price change, suspension, or discontinuance of the Service;
• the Service generally or the software or systems that make the Service available;
• unauthorized access to or alterations of your transmissions or data;
• statements or conduct of any third party, including any restaurant, on or surfaced through the Service; or
• any other matter relating to the Service.

Our liability is limited whether or not we have been informed of the possibility of such damages, and even if a remedy set forth in this Agreement is found to have failed of its essential purpose. We will have no liability for any failure or delay due to matters beyond our reasonable control.

H. Release and Indemnification

Short version: You are responsible for your use of the Service. If you get into a dispute with a restaurant or other third party, we will not be involved.

If you have a dispute with one or more restaurants, businesses, or other users, you agree to release TekAdept, LLC from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

You agree to indemnify us, defend us, and hold us harmless from and against any and all claims, liabilities, and expenses, including attorneys' fees, arising out of your use of the Service, including but not limited to your violation of this Agreement, provided that we (1) promptly give you written notice of the claim, demand, suit, or proceeding; (2) give you sole control of the defense and settlement of the claim (provided that you may not settle any claim unless the settlement unconditionally releases TekAdept, LLC of all liability); and (3) provide to you all reasonable assistance, at your expense.

I. Changes to These Terms

Short version: We may modify this agreement, but we will note material changes so you can stay informed.

We reserve the right, at our sole discretion, to amend these Terms of Service at any time. We will indicate material changes by updating the "Last Updated" date at the top of this page and, where appropriate, by providing additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. We also reserve the right at any time to modify or discontinue, temporarily or permanently, the Service (or any part of it) with or without notice.

J. Miscellaneous

Short version: Legal details, including our choice of law.

1. Governing Law. Except to the extent applicable law provides otherwise, this Agreement and any access to or use of the Service are governed by the federal laws of the United States of America and the laws of the State of California, without regard to conflict-of-law provisions. You and TekAdept, LLC agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in Orange County, California.

2. Non-Assignability. We may assign or delegate these Terms of Service, in whole or in part, to any person or entity at any time with or without your consent. You may not assign or delegate any rights or obligations under these Terms without our prior written consent, and any unauthorized assignment by you is void.

3. Section Headings and Summaries. Throughout this Agreement, each section includes a title and a brief "short version" summary. These titles and summaries are not legally binding.

4. Severability, No Waiver, and Survival. If any part of this Agreement is held invalid or unenforceable, that portion will be construed to reflect the parties' original intent, and the remaining portions will remain in full force and effect. Any failure on our part to enforce any provision will not be considered a waiver of our right to enforce it. Provisions that by their nature should survive termination — including ownership provisions, warranty disclaimers, indemnity, and limitations of liability — will survive.

5. Complete Agreement. These Terms of Service, together with the RandoEats Privacy Policy, represent the complete and exclusive statement of the agreement between you and us, and supersede any prior agreement or communication relating to their subject matter.
